  • You agree to follow these Terms and any applicable rules of the original platform providers.

2. Service Description & Access Methods

2.1 Nature of Our Service

Tool Authority is a third-party access provider. We offer term-based access to premium digital tools through a transparent group-buy/shared-access model.
We are not the original software vendor and are not affiliated with or endorsed by providers such as Canva, Google, Microsoft, OpenAI, or others.

Your purchase grants access to premium features through a valid subscription plan administered by Tool Authority, not ownership of any software account, platform, or official credits.

2.2 Access Mechanisms

Each product page clearly states how access is delivered. Access may be provided by one of the following approved methods:

  1. Team Invitation
    You receive an official invitation to join a team/workspace managed by Tool Authority.

  2. Family Group Invitation
    You receive an official invitation to join a family group administered by Tool Authority.

  3. Managed Seat on a Shared Environment
    You receive access to a managed seat within a shared subscription environment.
    You must not change credentials, security settings, or account ownership in any way.

2.3 Transparency & Misrepresentation

We clearly disclose whether access is private or shared, including any limitations or visibility risks.
Misrepresenting the nature of access (for example, claiming a private individual subscription when the product is shared access) is strictly prohibited and may result in immediate suspension without refund.

3. Payment & Billing

3.1 One-Time Prepaid Payment

All products are sold for a fixed term (e.g., 1-Month, 1-Year) and require a single prepaid payment.

3.2 No Auto-Renewal

Tool Authority does not offer recurring billing.
You will not be charged automatically when your term ends. To continue access, you must place a new order.

3.3 Pricing

Prices are displayed on product pages and cover all fees for the stated term unless otherwise noted. We reserve the right to correct obvious pricing or listing errors.

4. Delivery & Term Duration

4.1 Delivery Method

Access details (invitations or credentials) are delivered digitally, typically by email or direct message, within 24 hours of payment confirmation.

4.2 Access Duration

Your access term begins when access details are delivered and lasts for the duration stated on the product page (e.g., 30 days, 365 days).

5. Refund & Cancellation Policy

5.1 Refund Eligibility

A full refund is available if:

  • We fail to deliver access within 48 hours of confirmed payment, or

  • The access details provided are non-functional and we cannot fix the issue within a reasonable time.

5.2 Non-Refundable Cases

Refunds are not provided if:

  • You did not review or understand the product description or access method before purchase.

  • Your access is removed due to violation of these Terms or platform rules.

  • You decide not to use the service after successful delivery and activation.

6. User Responsibilities

By purchasing or using our services, you agree to:

  • Use access only for lawful personal use and within fair-use limits.

  • Follow all rules of the original platform provider.

  • Never attempt to change passwords, emails, recovery options, or security settings of any shared environment.

  • Accept that shared access products may have stated limitations.

Violations may lead to immediate termination without refund.

7. Order Limitations & Fair Use

To maintain fairness and prevent abuse:

  • We may refuse orders intended for resale, redistribution, or bulk commercial use.

  • We may suspend access if usage violates fair-use policies or harms the shared environment.

8. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules.

Any dispute will be resolved by binding arbitration in Los Angeles, California, under AAA rules.
You waive the right to a jury trial or class-action lawsuit unless prohibited by law.

We comply with applicable U.S. consumer protection and FTC guidelines.

9. Privacy & Security

We prioritize privacy and use industry-standard safeguards for transactions.
Payment information is encrypted and processed through secure channels.

You must not use any tools or actions to interfere with or attempt unauthorized access to Website systems. Violations may result in account termination and legal action.
